|These terms and conditions apply to all services dated from: 01 May 2011.|
By accepting a quote or making a payment of invoice to use the services supplied, the Client acknowledges to have read, understood, and accepted the Terms and Conditions of this Agreement, and agrees to be legally bound by these Terms and Conditions.
|1. General terms|
All material supplied by the Client and used in the construction of the Client's web or graphic design project, will remain the Client's property. All such material will be assumed to be the property of the Client and free to use without fear of breach of copyright laws.
The web and graphic design files remain the property of factory house until all outstanding accounts are paid in full, whereupon they will become the property of the Client.
Any design, copywriting, image, idea or code created for the Client by factory house, is licensed for use by the Client on a one-time only basis and may not be modified, re-used, or re-distributed in any way or form without the express written consent of factory house.
A non-refundable deposit of 25% of the agreed quote is required with all factory house projects before any web or graphic work is carried out. 75% of the total amount is to be paid upon delivery of the finished project.
The figures provided by factory house are estimates. A quote is based on the information provided, and may be inappropriate if additional information is forthcoming or specifications change. It is valid for 30 days.
|2. Web Design|
|2.1||Browser & Computer Compatibility:
factory house shall make every effort to ensure sites are designed to be viewed by the majority of visitors. Sites are designed to work on Mac OS X and Microsoft Windows with the main browsers Internet Explorer and Mozilla Firefox (latest releases). The Client agrees that factory house cannot guarantee correct functionality with all browser software across different operating systems and versions. factory house cannot accept responsibility for pages which do not display acceptably in newer versions of browsers released after the website have been designed.
|2.2||Search Engine Optimization:
factory house endeavours to create pages that are search engine friendly, however, due to the infinite number of considerations that search engines use when determining a site’s ranking, factory house cannot guarantee acceptance by any search engine nor any particular placement. When a site is accepted, the time it takes to appear in search results varies from one search engine to another. Rankings will also vary as new sites are added.
Whilst every effort is made to make sure files are error free, factory house cannot guarantee that the display or functionality of the web design or the website will be uninterrupted or error free. If after handover of files errors are found in the code factory house has created and the main browsers (Internet Explorer and Mozilla Firefox), domain name setup and hosting setup are the same as when work began, then factory house can correct these errors for the Client at its own discretion.
The content management systems factory house uses require occasional security updates. Their releases vary from once to several times a year. If the Client holds hosting with factory house, this is done as part of the Hosting package. If the Client holds hosting somewhere else, factory house holds the right to charge at an hourly rate to perform this task.
|3. Domain & Hosting|
factory house does not act as a hosting reseller, factory house provides free hosting. The yearly charge is not intended to define the direct selling of hosting but instead defines the upkeep of the site (e.g. update of security procedures for the site) and the provision of the control panel for the site. The Client will always have full ownership over the domain name and the content on the site and can transfer their site away from factory house whenever they want as long as they have up to date payments with all the services required from factory house.
Failure in paying the yearly “Domain & Hosting” charge within the agreed dates might result in partial or complete termination of the service and the deletion of the site and its contents.
factory house may request that the Client changes their hosting provider if factory house considers it unacceptable because of poor service, lack of bandwidth or in any other way insufficient to support the new website. Fees due to the (previous) hosting provider are the responsibility of the client and factory house are not liable for their payment.
|4. Graphic Design|
Images which are supplied in an electronic format are to be provided in a format as prescribed by factory house via e-mail, FTP, Dropbox or WeTransfer. Images must be of a quality suitable for use without any subsequent image processing, and factory house will not be held responsible for any image quality which the Client later deems to be unacceptable.
factory house will develop up to 3 logo concepts and factory house offers unlimited revisions on logo design only. The term ‘Unlimited revisions’ does not apply to concepts. The Client may have unlimited revisions to one chosen concept only. The changes that are made under the term ‘Unlimited revisions’ are changes of colours, typefaces, fonts, scale, size and changes of arrangement of elements within the concept. If the Client asks for changes of another nature, factory house reserves the right to not make such changes. Changes other than colours, typefaces, changes of arrangement of elements within the concept, sizes and scale will be classed as an additional concept charged at £60 each.
